INFLUCTS — Terms & Conditions

INFLUCTS is a resale intelligence and marketplace research platform designed to help users identify potentially undervalued products and assess their potential resale opportunities.

INFLUCTS may analyse information from multiple online marketplaces and other third-party data sources and may provide users with information including:

• marketplace listings;
• asking prices;
• completed or sold-sale information;
• estimated resale values;
• marketplace fees;
• shipping and fulfilment costs;
• applicable estimated taxes, duties or import costs;
• estimated profit;
• estimated return on investment (“ROI”);
• opportunity scores;
• product and listing comparisons;
• market trends;
• search results;
• arbitrage opportunities; and
• other resale intelligence.

INFLUCTS may also provide INFLUCTS Intelligence, an automated intelligence feature that can assist users in identifying products, listings, searches or opportunities based on available marketplace and user-provided data.

INFLUCTS is an information and decision-support service. It does not guarantee that any product, listing or opportunity identified by the Service will generate a profit.

You must provide accurate and current information when creating an account.

You are responsible for ensuring that you are legally permitted to use INFLUCTS in your country or jurisdiction.

If you are under the age required to enter into a legally binding agreement in your jurisdiction, you must not use INFLUCTS without appropriate consent where required by law.

You are responsible for:

• keeping your account credentials secure;
• maintaining the confidentiality of your password;
• all activity conducted through your account;
• providing accurate account information; and
• notifying us if you believe your account has been accessed without authorisation.

You must not share, sell, transfer or otherwise provide access to your INFLUCTS account to another person unless your subscription explicitly permits this.

You must not attempt to circumvent account limits, subscription restrictions, usage limits or other technical controls implemented by INFLUCTS.

Certain INFLUCTS features require a paid subscription.

Available plans, pricing, included features and usage limits are displayed on the INFLUCTS website at the time of purchase.

Different subscription levels may provide different access to features, including marketplace scanning, resale intelligence, INFLUCTS Intelligence, background intelligence, search capacity and other functionality.

We may impose reasonable technical, usage, API, marketplace or provider limits where necessary to maintain the reliability, security or economic sustainability of the Service.

Where a feature has a stated usage allowance, the allowance applies according to the rules displayed for the applicable subscription.

Paid subscriptions may automatically renew for the applicable billing period unless cancelled before the next renewal.

The applicable price, billing frequency and any applicable taxes or charges will be presented before purchase.

You authorise the applicable payment provider to charge your selected payment method for recurring subscription charges where automatic renewal applies.

If a payment fails, INFLUCTS may restrict or suspend access to paid features until payment is successfully processed.

You may cancel your subscription in accordance with the cancellation process made available through your account or the applicable payment provider.

Cancellation generally prevents future renewal but does not necessarily entitle you to a refund for a period already paid for, except where required by applicable law or otherwise stated by INFLUCTS.

Nothing in these Terms excludes or limits any consumer guarantee, statutory right or remedy that cannot legally be excluded.

INFLUCTS may occasionally offer free trials, promotional pricing, credits or other promotional offers.

Promotional offers may be subject to additional conditions disclosed at the time of the offer.

We may limit or withdraw promotional offers where permitted by law, including where we reasonably believe an offer is being abused or used contrary to its intended purpose.

The paid A$9.99 trial is described in section 23 (Refunds and Cancellations).

INFLUCTS may obtain, process or display information originating from third-party marketplaces, listing providers, data providers, APIs, search services or other external sources.

Examples may include marketplaces used by INFLUCTS to identify acquisition opportunities or resale evidence.

Third-party information may change, become unavailable, contain errors, be delayed, be incomplete, or differ between regions.

INFLUCTS does not guarantee that information obtained from third parties is complete, current, accurate or continuously available.

Third-party marketplaces and services remain independent from INFLUCTS unless expressly stated otherwise.

INFLUCTS does not represent that it is affiliated with, endorsed by, sponsored by or officially associated with any third-party marketplace unless expressly stated.

Where third-party data or services are used, your use of those third-party services may also be subject to their own terms and policies.

INFLUCTS may use completed or sold-sale information to estimate potential resale values.

Where available, INFLUCTS may distinguish between:

• verified sold-sale evidence;
• historical market information;
• active asking prices; and
• estimates or other market signals.

Active asking prices are not necessarily evidence that an item has sold for that amount.

A product may be displayed as unverified, estimated or otherwise lower-confidence where sufficient qualifying sold-sale evidence is unavailable.

INFLUCTS may apply matching rules to determine whether a completed sale is sufficiently comparable to a particular product, including factors such as:

• brand;
• model;
• generation;
• size;
• storage;
• colour;
• condition;
• variant;
• specifications;
• region;
• currency; and
• other relevant product characteristics.

INFLUCTS may exclude listings or completed sales that appear unsuitable, including certain accessories, parts, bundles, replicas, counterfeit goods, display items, incompatible variants or otherwise non-comparable products.

These processes are designed to improve the usefulness of the information but do not guarantee that every valuation is accurate.

INFLUCTS may calculate estimated profit, margin, ROI and other financial metrics using information available to the Service.

Calculations may take into account costs such as:

• acquisition price;
• marketplace selling fees;
• payment processing fees;
• shipping;
• fulfilment;
• import freight;
• customs duties;
• taxes;
• other applicable costs; and
• other inputs provided by the user or available to INFLUCTS.

Actual costs may differ from estimates.

A displayed profit or ROI figure does not constitute a guarantee that you will achieve that result.

You are responsible for independently verifying the purchase price, selling price, fees, shipping, taxes, duties, authenticity, condition and other relevant factors before purchasing or reselling an item.

INFLUCTS does not guarantee that you will:

• find profitable products;
• purchase products below market value;
• resell products at an estimated resale price;
• achieve a particular profit;
• achieve a particular ROI;
• sell an item within a particular period;
• obtain a buyer;
• recover your acquisition cost; or
• generate any income through use of INFLUCTS.

Past sales and historical market information do not guarantee future results.

Any examples, opportunity scores, profit figures, ROI figures, demonstrations or promotional examples displayed by INFLUCTS are provided for informational purposes unless expressly stated otherwise.

You remain solely responsible for your purchasing, selling and investment decisions.

INFLUCTS Intelligence may use automated systems, algorithms, data sources and other technology to identify potential opportunities or provide recommendations.

Depending on your subscription, access to INFLUCTS Intelligence may be limited.

Certain intelligence features may have daily, monthly, per-account, provider or other usage limits.

Background intelligence searches may be subject to additional limits to manage third-party provider costs, availability and system capacity.

INFLUCTS may change, restrict or temporarily suspend automated intelligence functionality where necessary to maintain the Service.

Automated recommendations should not be treated as professional financial, investment, tax, legal or business advice.

You agree to use INFLUCTS lawfully and responsibly.

You must not use INFLUCTS to:

• violate applicable laws or regulations;
• infringe another person’s intellectual property;
• engage in fraud or deceptive conduct;
• facilitate the sale of counterfeit or illegal goods;
• interfere with the operation of INFLUCTS;
• attempt to bypass, disable or probe security controls;
• scrape, crawl or use bots, scripts or other automated tools to access the Service or extract INFLUCTS data, except through features we provide for that purpose;
• reverse engineer, decompile or disassemble the Service, or try to work out its source code, methods, algorithms, or its matching, scoring or pricing logic, except where the law expressly allows it;
• use the Service, its results or its data to build, train, benchmark or improve a product or service that competes with INFLUCTS, including any machine-learning or AI model;
• copy, export, publish or redistribute search results, valuations or other outputs in bulk, or make them available to others as a dataset, feed or service;
• resell, sublicense, rent or share access to INFLUCTS, or let anyone else use your account, unless your subscription expressly allows it;
• create multiple accounts, or use any other method, to get around usage limits, subscription restrictions or other technical controls;
• abuse third-party services or APIs;
• overload or interfere with INFLUCTS infrastructure; or
• use the Service in a manner that could reasonably damage INFLUCTS or its users.

You are responsible for ensuring that products you purchase or resell comply with applicable laws, marketplace rules and authenticity requirements.

Using individual results in your own buying and selling, and keeping your own records of them, is fine.

If you breach this section, we may suspend or terminate your account under section 20 (Suspension and Termination). Where reasonable, we will tell you about the problem first and give you a chance to fix it.

Nothing in this section limits your rights under the Australian Consumer Law, or anything else the law allows you to do that cannot be excluded.

INFLUCTS is not intended to facilitate the purchase or sale of counterfeit, fraudulent or otherwise illegal goods.

INFLUCTS may identify, exclude, suppress or flag listings that appear to involve counterfeit products, replicas, fraudulent listings, display products or other unsuitable items.

However, automated systems cannot guarantee that every listing will be correctly identified.

Users remain responsible for independently verifying the authenticity and legality of products before purchasing, selling or otherwise dealing with them.

The INFLUCTS platform, including its software, source code, systems, design, interface, branding, logos, written content, databases, data and its methods for selecting, matching and pricing listings, is owned by or licensed to INFLUCTS and is protected by copyright and other intellectual property laws.

INFLUCTS™ is our trade mark.

Your subscription gives you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for its intended purpose.

You do not acquire ownership of the INFLUCTS software, technology, algorithms, databases or intellectual property by subscribing to or using the Service.

You must not copy, reproduce, modify, distribute, sell, licence, lease, reverse engineer or commercially exploit INFLUCTS intellectual property except where expressly permitted by us or required by law.

Third-party marketplace listings, brands and data remain the property of their respective owners (see sections 7 and 34).

We take breaches of this section and section 12 seriously and will take legal action, including seeking damages and injunctions, against anyone who breaches them.

Nothing in this section limits your rights under the Australian Consumer Law or any other right that cannot legally be excluded.

You retain ownership of information and content that you submit to INFLUCTS, subject to the rights reasonably required for us to provide the Service.

You grant INFLUCTS the necessary rights to process, store, reproduce and use your submitted information to:

• provide the Service;
• perform searches;
• personalise features;
• calculate results;
• operate INFLUCTS Intelligence;
• maintain and improve the Service;
• prevent fraud and abuse;
• provide customer support; and
• comply with legal obligations.

We may generate aggregated, de-identified or anonymised information from platform usage for analytics, system improvement, performance monitoring and business purposes, provided that such information does not reasonably identify you.

Our handling of personal information is governed by our Privacy Policy.

INFLUCTS may retain information associated with your use of the platform, which may include:

• searches;
• search terms;
• scan activity;
• marketplace selections;
• opportunity results;
• usage volumes;
• feature usage;
• account information;
• subscription information;
• system logs;
• performance information; and
• technical information relating to your use of the Service.

This information may be used to operate, secure, analyse and improve INFLUCTS in accordance with our Privacy Policy.

We aim to provide a reliable and continuously improving Service, but we do not guarantee that INFLUCTS will:

• always be available;
• operate without interruption;
• operate without errors;
• return results within a particular time;
• support every marketplace indefinitely;
• have access to every marketplace at all times; or
• remain compatible with every third-party service.

INFLUCTS may experience downtime caused by maintenance, technical problems, third-party providers, APIs, marketplaces, hosting providers, network problems, security incidents or circumstances outside our reasonable control.

Where practical, we will seek to restore affected functionality as soon as reasonably possible.

INFLUCTS may depend on third-party services, APIs, marketplaces, payment processors, hosting providers, analytics providers, data providers and other external services.

Changes made by third parties may affect INFLUCTS functionality.

We are not responsible for third-party services that are outside our reasonable control.

Your use of a third-party service may be subject to separate terms imposed by that provider.

We take reasonable steps to protect INFLUCTS and information processed through the Service.

However, no online system can be guaranteed to be completely secure.

You are responsible for maintaining the security of your account credentials and devices used to access INFLUCTS.

You must notify us promptly if you believe your account has been compromised.

We may suspend or terminate an account where reasonably necessary, including where:

• these Terms are breached;
• the account is used fraudulently;
• the Service is abused;
• usage limits are intentionally circumvented;
• payment obligations are not met;
• the account creates a security risk;
• the account is used for unlawful activity; or
• continued access could materially harm INFLUCTS or other users.

Where appropriate and reasonably practicable, we may provide notice and an opportunity to resolve the issue before termination.

Termination does not affect rights or obligations that accrued before termination.

You may cancel your subscription using the cancellation method provided by INFLUCTS or the applicable payment provider.

After cancellation, your access to paid features will generally continue until the end of the applicable paid billing period unless otherwise stated.

Any refund will be handled in accordance with our refund policy, applicable plan terms and Australian Consumer Law.

Nothing in these Terms is intended to exclude, restrict or modify any rights or remedies you may have under the Australian Consumer Law or any other law that cannot legally be excluded.

Our services come with guarantees that cannot be excluded under the Australian Consumer Law.

For major failures with the service, you may have rights to:

• cancel your service contract; and
• receive a refund for the unused portion or compensation for its reduced value.

You may also be entitled to compensation for other reasonably foreseeable loss or damage in circumstances provided by law.

Where a problem with the Service does not amount to a major failure, you may have other statutory rights and remedies.

These rights operate independently of any commercial refund policy.

Australian Consumer Law: INFLUCTS subscriptions are generally non-refundable, but nothing in these Terms excludes, restricts or modifies your rights under the Australian Consumer Law (see section 22).

Cancellation: you can cancel at any time from Manage subscription, or by emailing support@influcts.com. Cancellation takes effect at the end of your current paid period. Your access continues until then, and you won't be charged again.

A$9.99 trial: the trial is a one-time payment for 5 searches over 5 days, showing the top 3 results per search. It is not a subscription, it doesn't renew, and you are never billed automatically.

One trial per person, email address and card. If a trial payment is rejected for any reason (for example because that person, email or card has already had a trial), the payment is refunded automatically and no trial starts.

If you subscribe to a monthly or annual plan while your trial is active, A$9.99 comes off your first subscription payment (once only).

Failed or duplicate charges: if you're charged twice for the same thing, or charged when a payment should have failed or a purchase didn't go through, we refund the incorrect charge.

How to request a refund: email support@influcts.com from your account email with the payment date and reason. We reply within 5 business days.

INFLUCTS does not provide refunds simply because:

• you did not use your subscription;
• you did not perform a search;
• you did not find a profitable opportunity;
• you were dissatisfied with a search result;
• you expected more opportunities;
• you did not use all included searches, credits or intelligence allowance;
• you changed your mind after purchasing; or
• you forgot to cancel before your subscription renewed.

This doesn't affect the INFLUCTS Profit Guarantee in section 35: where you qualify, its benefit is a free subsequent monthly period, not a cash refund.

To the maximum extent permitted by law, INFLUCTS will not be liable for losses arising from:

• your decision to purchase or resell a product;
• inaccurate or changing marketplace information;
• changes in resale prices;
• products failing to sell;
• differences between estimated and actual fees;
• marketplace account restrictions;
• third-party marketplace actions;
• third-party service interruptions;
• inaccurate information supplied by third parties;
• inaccurate information supplied by you;
• loss of expected profit;
• loss of anticipated savings; or
• business decisions made using information provided by INFLUCTS.

Nothing in these Terms excludes liability or consumer rights that cannot lawfully be excluded.

Where liability can legally be limited, INFLUCTS’ liability will be limited to the extent permitted by applicable law.

To the extent permitted by law, you agree to indemnify INFLUCTS against reasonable losses, claims, liabilities and expenses arising from your unlawful use of the Service, your breach of these Terms, or your infringement of another person’s rights.

This clause does not apply to the extent that the loss was caused by INFLUCTS’ own unlawful conduct or cannot legally be allocated to you.

INFLUCTS is continuously developed and may change over time.

We may add, modify, remove or replace features.

Where a change materially affects your rights or obligations under these Terms, we will take reasonable steps to provide appropriate notice where required by law.

We will not use this clause to remove or restrict rights that cannot legally be removed or restricted.

We may update these Terms from time to time.

The updated version will be published on the INFLUCTS website with a revised “Last updated” date.

Where required by law, we will provide additional notice of material changes.

Your continued use of INFLUCTS after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by law.

Our collection, use, storage and handling of personal information is governed by the INFLUCTS Privacy Policy.

The Privacy Policy forms part of the framework governing your use of the Service.

You should read the Privacy Policy before using INFLUCTS.

By creating an INFLUCTS account, you agree that we may contact you regarding:

• your account;
• subscriptions;
• payments;
• security;
• service changes;
• technical matters;
• support requests; and
• other communications necessary to operate the Service.

Marketing communications will be handled in accordance with applicable law and your communication preferences.

These Terms are governed by the laws of Australia and, to the extent applicable, the laws of the State or Territory in which INFLUCTS is legally established.

You agree to submit to the jurisdiction of the applicable courts, subject to any mandatory rights you may have under applicable consumer law.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

The remaining provisions will continue to operate.

These Terms, together with the Privacy Policy and any additional terms expressly incorporated into the Service, constitute the agreement between you and INFLUCTS regarding your use of the Service, subject to any rights or obligations imposed by law.

INFLUCTS™ and associated names, logos, designs, software and branding are the property of INFLUCTS or their respective owners.

Unauthorised reproduction, distribution or commercial exploitation of INFLUCTS materials is prohibited to the extent permitted by law.

INFLUCTS is an independent service. Any third-party marketplace, brand, product or service referenced by INFLUCTS remains the property of its respective owner unless otherwise stated.

35.1 Overview

INFLUCTS Pty Ltd ("INFLUCTS", "we", "us" or "our") may offer an INFLUCTS Profit Guarantee ("Guarantee") to eligible paid subscribers.

The Guarantee provides that where an eligible subscriber uses all of the searches included in their applicable monthly subscription and INFLUCTS determines, following an account review, that no Qualifying Profitable Opportunity was identified during that billing period, INFLUCTS may provide the subscriber with the following monthly subscription period at no charge.

The Guarantee is subject to these Terms and does not constitute a guarantee that a subscriber will make an actual financial profit.

35.2 How the Guarantee Works

The Guarantee is based on opportunities identified by the INFLUCTS platform, rather than on whether a subscriber personally purchased, resold or made money from a product.

INFLUCTS does not require a subscriber to prove that they made or lost money from a transaction.

To be considered for the Guarantee, a subscriber must first contact INFLUCTS support and request a review of their account.

INFLUCTS will then review the relevant account and billing-period data to determine whether the requirements of the Guarantee have been satisfied.

35.3 Eligibility Requirements

A subscriber may be eligible for the Guarantee where all of the following requirements are satisfied:

• The subscriber maintained an active paid INFLUCTS subscription during the relevant billing period.
• The subscriber used all of the searches included with their applicable subscription during that billing period.
• The searches were genuine searches conducted for legitimate product research purposes.
• The subscriber's account was in good standing and complied with the INFLUCTS Terms & Conditions.
• No Qualifying Profitable Opportunity was identified by INFLUCTS during the relevant billing period.
• The subscriber submits a request for review within the applicable claim period.

Meeting these requirements does not automatically result in a free month. INFLUCTS must review the relevant account records and confirm eligibility.

35.4 Qualifying Profitable Opportunity

For the purposes of the Guarantee, a "Qualifying Profitable Opportunity" is an opportunity shown to the subscriber in their INFLUCTS search results during the relevant billing period that meets all of the following:

• (a) Estimated profit of at least A$20 after the platform's estimated marketplace fees, payment fees and shipping costs;
• (b) Supported by at least 1 verified completed-sale (sold) record for a matching product;
• (c) The listing was active and available for purchase when it was displayed to the subscriber; and
• (d) The listing was not excluded or flagged by INFLUCTS as a likely replica, counterfeit, part, accessory, bundle or non-comparable item.

An opportunity based solely on asking prices, or without sufficient sold-sale evidence, is not a Qualifying Profitable Opportunity.

The thresholds above apply to the billing period in which the searches were made. INFLUCTS may change these thresholds for future billing periods by updating these Terms and giving subscribers at least 30 days' notice. Changes will not apply to a billing period that has already started.

35.5 Customer Claims

Customers will not be shown an automatic Guarantee eligibility status within their account.

INFLUCTS may internally track search usage, opportunities and other information relevant to determining eligibility, but this information does not create an automatic entitlement to a free month.

If a subscriber believes they may qualify, they must contact INFLUCTS support and request a Guarantee review.

INFLUCTS will review the account using its internal records and determine whether the Guarantee requirements have been satisfied.

35.6 Internal Account Review

INFLUCTS may review information including:

• Subscription and billing-period information;
• Number of searches used;
• Search records;
• Search processing status;
• Listings returned;
• Sold-data verification;
• Profit calculations;
• ROI calculations;
• Qualifying opportunity records; and
• Other relevant platform records.

INFLUCTS's server-side records will be used as the primary source for determining whether the Guarantee requirements have been satisfied.

Customers are not required to provide evidence of actual purchases or resales unless INFLUCTS reasonably requests additional information for a specific claim.

35.7 Guarantee Benefit

Where INFLUCTS confirms that a subscriber qualifies, INFLUCTS will provide one subsequent monthly subscription period at no subscription charge, generally corresponding to the subscription plan applicable to the relevant Guarantee period.

The Guarantee does not provide:

• Cash payments;
• Reimbursement for products purchased;
• Reimbursement for shipping;
• Reimbursement for marketplace fees;
• Reimbursement for taxes or duties;
• Compensation for unsuccessful resale transactions; or
• Compensation for losses arising from a subscriber's trading or purchasing decisions.

The free month will initially be applied manually by INFLUCTS and is not automatically generated by the platform.

35.8 No Guarantee of Actual Profit

The INFLUCTS Profit Guarantee does not guarantee that a subscriber will make money.

INFLUCTS identifies potential opportunities using marketplace information, market data, sold data and calculations available to the platform.

Actual results may differ due to factors including:

• Changes in market prices;
• Product availability;
• Competition;
• Marketplace fees;
• Shipping costs;
• Taxes;
• Product condition;
• Changes in buyer demand;
• The subscriber's purchase price;
• The subscriber's resale price; and
• Whether the subscriber chooses to complete a transaction.

Subscribers are responsible for independently evaluating opportunities before making purchasing or resale decisions.

35.9 Search Manipulation and Abuse

INFLUCTS may reject a Guarantee request where it reasonably determines that the subscriber has attempted to manipulate the Guarantee.

This may include:

• Repeatedly submitting substantially identical searches solely to exhaust search credits;
• Submitting irrelevant or deliberately misleading searches;
• Using automated methods to generate searches improperly;
• Creating multiple accounts to obtain multiple Guarantee benefits;
• Manipulating platform data;
• Attempting to circumvent search limits; or
• Any other conduct reasonably intended to obtain the Guarantee improperly.

Technical retries or duplicate processing generated automatically by the INFLUCTS system will not be treated as customer search activity where they are not genuine customer-initiated searches.

35.10 One Guarantee Per Billing Period

The Guarantee applies to the relevant billing period only.

A subscriber cannot claim multiple free months based on the same billing period.

Unless otherwise stated by INFLUCTS, the Guarantee may only be applied once within a 12-month period for the same account.

The Guarantee is non-transferable and has no cash value.

35.11 Claim Period

A subscriber must contact INFLUCTS within 7 days after the end of the relevant billing period to request a Guarantee review.

Requests submitted outside this period may be declined unless INFLUCTS determines otherwise.

35.12 No Automatic Refund

The Guarantee does not automatically result in a refund of the current or previous subscription payment.

Where a subscriber qualifies, the standard Guarantee benefit is a free subsequent monthly subscription period, rather than a cash refund.

This Guarantee operates separately from any refund rights that may apply under applicable law.

35.13 Australian Consumer Law

Nothing in these Terms & Conditions excludes, restricts or modifies any rights, guarantees, remedies or liabilities that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable legislation.

The INFLUCTS Profit Guarantee is an additional voluntary offer and does not replace or limit any rights a consumer may have under applicable law.

35.14 Changes to the Guarantee

INFLUCTS may modify, suspend or withdraw the Profit Guarantee for future billing periods by updating the applicable Guarantee terms or offer.

Changes will not affect a Guarantee that has already been validly earned before the relevant change takes effect, except where otherwise permitted or required by law.

35.15 Final Determination

INFLUCTS will assess Guarantee requests using the relevant account, search, opportunity and billing records available to it.

A subscriber's use of all available searches does not by itself establish eligibility.

Eligibility must be confirmed by INFLUCTS following an account review.
